제 4 조 [불가항력]

당사자들이 제어할 수 없는 천재지변, 폭동, 전쟁, 기타의 사유에 의한 어느 일방 당사자의 본 계약상의 의무의 불이행 또는 이행지체는 본 계약의 위반으로 간주되지 않는다.

제5조 [비밀유지의 의무]

각 당사자들은 상법 등 관계법규에 의하여 공개하여야 하거나 법원의 재판에 의하여 요구되는 경우를 제외하고는 본 계약의 내용을 비밀로 유지하며, 본 계약과 관련된 모든 정보의 공개는 매도인과 매수인이 합의하여 하기로 한다.

제6조 [양도 가능성]

1.       본 계약상의 권리 및 의무는 다른 당사자의 사전서면 동의 없이 제3자에게 양도할 수 없다.

2.        본 계약 및 본 계약의 모든 약정, 조건은 본 계약 당사자들 및 그들 각자의 승계인들 및 매수인들을 기속하고 효력을 갖는다.

제7조 [준거법]

본 계약은 대한민국 법률에 의하여 해석되고 규율 된다.

제8조 [전체계약]

1.       본 계약은 본 계약일 현재 본 계약의 주된 사항에 관한 당사자들간의 이전의 모든 구두나 서면의 진술, 양해 또는 합의에 우선하며, 본 계약이 예정하는 계약 및 문서는 당사자들 관계의 재조정에 대한 당사자들간의 완전한 합의를 포함한다.

2.       본계약의 변경,개정 또는 수정은 서면으로 한다.

제  9 조   [분쟁의 해결]

1.       본 계약의 체결, 이행 또는 본 계약의 위반과 관련한 분쟁에 대하여는 서울중앙 지방법원을    전속관할 법원으로 하기로 한다. 

본 계약의 성립을 증명하기 위해 매도인과 매수인이 날인한 계약서 2 부를 작성하여 각 1 부씩 보관한다.

ARTICLE 4

FORCE MAJEURE

 

It is not assumed the breach of this agreement that neither party do not perform or delay to perform the obligations hereunder due to natural disaster, riot, war and orders which cannot be controlled by the parties.       

 

ARTICLE 5

OBLIGATION TO PRESERVE CONFIDENTIALITY

 

Each party shell keep contents of this agreement themselves and all information concerned with this agreement shell be disclosed subject to agreement between Vendor and Purchaser except to declassify this confidential information subject to relevant laws such as Commercial Code and to be required to hold a trial court. 

 

ARTICLE 6

POSSIVILITY OF TRANSFER

 

1.    Neither party shall transfer rights and obligations hereunder to third party without the prior written agreement from the other party.

2.    This agreement of all consideration, condition of this agreement shall inure to the benefit of and be binding upon the parties and their successor and purchaser.       

 

ARTICLE 7

GOVERNING LAW

 

  This Agreement shall be interpreted and governed by the laws of the Republic of Korea. 

 

ARTICLE 8

ENTIRE AGREEMENT

 

1.    This Agreement, in this day when this Agreement executed, be preceded by oral or written statement, understanding, agreement between the parties prior to the execution hereof  with respect to the main point hereof and,  the agreements and the documents planned by this agreement contain entire agreement between the parties with respect to the rebalancing of relationship between them.

2.    The amendment, revision or correction of this Agreement shall be performed in writing.

 

                                                                                                ARTICLE 9

SETTLEMENT OF DISPUTES

1.    Disputes in connection with the execution , the performance and the breach of this Agreement shall be submitted to the exclusive jurisdiction of Seoul Central District Court in Seoul.    

IN WITNESS WHEREOF, Vendor and Purchaser have executed this Agreement in two copies and each Party shall keep one each.
